1. General / Overview

The Following Terms and Conditions shall apply exclusively to the business relationship between Bid Vid.com (a trading style of Media Infusion ltd), it’s internet platform being www.bidvid.com, and our users (“You” or “Your” or “User” or “Customer”).  By using www.bidvid.com, the user accepts the following Terms and Conditions, as well as the operations of Bidvid.com together with its Auto Bid system, which is described on the website.

These Terms and Conditions constitute the entire agreement between Bid Vid .com and you, and supersede and replace all prior commitments, undertakings and or representations, whether written or oral, between you and Bid Vid.com. 

Bid Vid.com may vary or amend these Terms and Conditions at any time.  Consequently, you should review these Terms and Conditions for changes each time you visit www.bidvid.com. 

Any special promotions run by www.bidvid.com will only be valid if they are announced on Bid Vid.com website or in its corresponding e-mail or newsletter.  Certain promotions will only be valid for a limited time, and details of any such time restrictions will be announced on the website or in an e-mail / newsletter.  Once the advertised time limits have been reached, or the relevant auction or auctions have ended, the promotion is also finished. 

Any bidding advice or other written materials (for example ‘Help’ articles or ‘About us’ tabs) posted on www.bidvid.com are provided solely for guidance and are not intended to be relied upon.  Bid Vid.com is not liable or responsible for the actions of users or other individuals who have read or been informed of such information or other written material.

The contract between Bid Vid.com and the user is binding on the parties and or their respective assigns or successors.  The user may not transfer, assign, change or dispose of any contract formed under these Terms and Conditions or any of their rights or obligations without obtaining Bid Vid.com prior written consent. 

2. Acceptance of the Terms and Conditions

By accepting these Terms and Conditions and/or registering with Bid Vid.com, you confirm that you are eligible (as specified in the eligibility section) to use Bid Vid.com.  If you do not agree with the Terms and Conditions DO NOT USE BID VID.COM.  If you access, use, download in any way, any service from Bid Vid.com, you agree to be bound by these Terms and Conditions.

3. Eligibility to Participate/ Registration with Bidvid.com / disqualification

By placing bids on www.bidvid.com you declare that you are legally capable of entering into binding legal contracts and that you are at least 16 years of age.  By using Bid Vid.com you warrant that you have the right, authority, and capacity to enter into this agreement and to abide by all of the Terms & Conditions. 
 
Employees and relatives of employees of www.bidvid.com are not eligible to participate in any www.bidvid.com auctions at any time in any circumstances.

www.bidvid.com products and services are offered exclusively to private users and not to commercial or partly commercial re-sellers.  Bid Vid.com reserves their right to exclude commercial resellers from auctions and to close their accounts at any time. 

Each user may register once only by using their postal address (registration using PO boxes or equivalent is not permitted).  The address provided must be your residential address, which will be forwarded to the relevant organisations / suppliers, if you succeed in an auction, for the purposes of arranging delivery. 

To register, the user must choose a username, which must not be, offensive, be capable of offending common decency or infringe the rights of third parties or be selected to deceive or mis-inform other users.  Bid Vid.com reserve their right to amend, without notice to the user, any username which breaches these Terms and Conditions or is illegal.  The corresponding password is to be kept secret by the user at all times.  User accounts created during registration are non- transferable in that the account may only be used by the registered user and no other individuals.  Any abuse of the user account, whether to the detriment of third parties / Bid Vid.com or otherwise, shall result in the disqualification of the user and the reporting of a crime. You, the user, shall be liable for all activities that are undertaken using the user account together with the associated password.

Bid Vid.com reserve the right to disqualify, temporarily or permanently, any user, or disable their account at any time, at its sole discretion.  Disqualification will occur where in the reasonable opinion of Bid Vid.com the user has violated laws, breached these Terms and Conditions and or breached the rights of third parties.  A user may also be disqualified to protect the rights of other users or where such action would prevent the unauthorised use or manipulation of the account.  Examples of unauthorised use are, but are not limited to, non-payments of bids, use of unauthorised third party bidding software, set-up of multiple user accounts by the same individual.  If, in the reasonable opinion of Bid Vid.com, you are in breach of these Terms and Conditions, Bid Vid.com reserve their right to withhold delivery (where applicable) or refund of bids. 

Bid Vid.com reserve their right to limit or restrict the number of auctions a user may participate in or the number of his successfully finished auctions at its sole discretion.  Please refer to our usage policy on the website for further details. 

You may only register one account per person and you must be based within the United Kingdom.  Our auctions are currently not available in other countries.  If we find the winner’s address is not registered within the United Kingdom we reserve our right to withhold delivery of goods and or refund of the bids and we may close the user account at our sole discretion. 

4. Bid Purchasing for Online Bidding / Payment / Validity of Bids

Bidding rights, so called “bids” or “credits”, must be purchased and paid for by you prior to bidding.  Bids can be purchased in packages at the current applicable prices, details of which may be viewed on www.bidvid.com under “Buy Bids”.  Payment can be made by debit / credit card or via payment agent such as Paypal.  Should payment not be honoured by a user, a returned payment fee will be charged to your account and you will be responsible for these fees.  Bid Vid.com reserve their right to freeze access to the user’s account until payment in full of the invoiced amount, together with any returned payment fees, is paid in cleared funds to Bid Vid.com.    Bids purchased (excluding BOGOF vids or special promotion vids), are valid for a 6 months (180 days) period from the time they have been credited to the user’s account. Buy One Get One Free (BOGOF) bids, coupon codes, vids won via auctions etc. are valid for 21 days from the time they have been credited to the user's account.

Free bids are only valid for the time stated in the promotion.  Upon expiration of the permitted time period, the Bids, whether Free or paid, become void and can no longer be placed.  Once a bid is placed in an auction, it is deducted from the user’s bid account and can no longer be refunded.  Refunds will not be issued for bids placed in auction, expired bids, voucher bids and free bids.  For further information about refunds please see our refunds policy on www.bidvid.com.

5. Bidding / Use of Auto Bid

You can bid in two ways online.  Bids may be placed by clicking on the relevant bid buttons when you are logged into the system and are actively watching the live auctions.  Alternatively, bids may be placed automatically by an Auto Bid. 

The Auto Bid assists you to be able to bid on an auction even if you are not online at that time.  The Auto Bid automatically submits bids according to the specifications set by you in advance.  You can read more about Auto Bid on our website under the FAQ or Help sections. You may not use bidding software which is not authorised by Bid Vid.com, any such conduct may result in disqualification. 

6. How the Auctions Work

On each Auction the price of the goods or service, which forms the subject of the auction, increases as users place bids.  The increase in price is equivalent to the bid being placed for example in an auction where 10 bids have been placed and a user places the 11th bid, the price of the good or service increases by 1 bid / credit.  Please see our website for details of the current bid prices, which are subject to change without prior notice to you at any time.

A bid submitted by you constitutes a willingness of a user to enter into a binding contract with Bid Vid.com and in the event of successful finishing of an auction, the claim to receive a purchase offer for the item of the auction under the conditions set out in the related auction.  A contract to purchase the item does not come into effect until the auction is finished and the last bidder has followed all the steps referred to in the ‘Acceptance of the Win / Payment Section’ within these Terms and Condition.   

Each new bid resets the remaining time for an auction by up to, but not above, the displayed countdown reset value.  This rule does not apply where two bidders are bidding against each other by way of Auto Bid.  The auction is deemed to finish when the countdown reaches zero.  At this stage the last user who placed a bid is deemed to have won the auction.  All other bids places within the auction will be expired and will not be credited back to the users accounts or be eligible for a refund.  The last bidder is determined according to the records and databases of Bid Vid.com and the decision of Bid Vid.com will be final, save in the case of manifest error. 

7. Acceptance of the Win / Payment

After the auction has ended the last bidder, who is determined as the winner of the auction by Bid Vid.com, will be given details of the total price of the product including all shipping / postage and packaging costs.  The user must actively confirm and pay the total price plus shipping / postage and packaging fees for the win by following the steps indicated on our website.   For auctions where the user has placed bids that were purchased the price of the good or service would already be paid for and, therefore, the user will only be required to pay the shipping / postage and packaging charges.  In our Free to Bid auctions, which will be held at the sole discretion of Bid Vid.com, the bids placed are free and, therefore, a winner of this auction would be required to pay the total price of the good or service, which would be monetary equivalent of the bids placed up to the point the countdown reached zero.  You should check our website for full details of the monetary value of each bid placed, as prices as subject to change at the sole discretion of Bid Vid.com without prior notice to the user. 

Once the winner has clicked the confirmation button the win has been accepted.  If an auction win has not been confirmed and paid within 2 days (48 hours) of the auction end date, Bid Vid.com reserves the right to withdraw the offer to conclude a contract and the winner’s right to pay for and receive delivery of an item will be permanently revoked.  All bids placed in that auction will expire and will be non – refundable.  The user must pay the total price when confirming the win as outlined above.  After confirming the win and paying the amounts due, the winner will receive a confirmation e-mail.

The item will not be sent to the user until the total price has been paid to Bid Vid.com.  A similar requirement for delivery is that all bids purchased and used by the user have been properly paid for.  Should bids that have already been purchased and used not have been properly paid for , payments received  shall be viewed as payment toward the bids not yet paid for, and we reserve the right to retain the item purchased at auction until all bids and the total price have been paid for in full.  Bid Vid.com reserve the right to charge you reasonable storage charges for items not properly paid for.

If the User chooses to pay for the item by credit card and the sales price is lower than £1, then the price will be rounded up to £1. Bidvid´s credit card processing company does not accept fees lower than £1 as a procedure designed to reduce the chances of attempted fraud.

8. Returns and Cancellations

Bid Vid.com is an auction agent acting as an intermediary between suppliers and clients.  As such Bid Vid.com does not offer you the right to cancel or return items purchased via our website.  You are advised to check specific supplier policies regarding returns.

Retail Items will only be refunded if the item is returned, within 10 days, unused, in its original packaging after obtaining a valid Return Merchandise Authorization (RMA) number. Customer is responsible for return shipping costs. Original shipping fees will not be refunded. 

BidPack Purchases. Unused purchased bidpacks may be refunded, at full value of initial purchase, within 30 days of purchase. Any requests for unused bid refunds after 30 days will be considered only on a case by case basis at Bid Vid's sole discretion.

9. Delivery

Unless stated to the contrary delivery will be made direct from our suppliers to the address provided by the user and delivery must be signed for.  Delivery times may vary and delivery time indicated is only an estimate and is not guaranteed.  We aim to have all items delivered within 3-4 weeks. 

Obvious damage to the item from transport or packaging must be brought to the attention of the supplier immediately upon delivery. 

Should Bid Vid.com not be able to deliver the item ordered, Bid Vid.com will be entitled to substitute the item with a comparable replacement product, with the same or better features, or provide a refund of the auction end price to the user based upon the user’s performance. 

10. Offsetting / Withholding Payment / Retention of Title

 You may only offset if the counterclaim is not disputed by Bid Vid.com. 

You may not by reason of alleged minor defect withhold more than a proportionate amount of the sum due.

The item delivered shall remain the property of Bid Vid.com until such time as the final payment of the total price is received, inclusive of the bids used in auction. 

11. Collusion
 
Any form of collusion on BidVid.com is strictly forbidden.
 
Collusion includes, but is not limited to, two or more members working together as a team to the detriment of other bidders.
 
BidVid.com reserves the right, in its sole discretion, to disqualify You if BidVid.com suspects You are working in a team.
 
If You are disqualified for collusion, You will have all Your wins voided and accounts frozen.
No frozen funds or bids will be returned or transferred into other accounts.

12. Disclaimer of Warranty and Limitation of Liability regarding the use of Bid Vid.com

USER EXPRESSLY AGREES THAT USE OF BIDVID.COM INTERACTIVE IS AT THE USERS OWN RISK, IT’S AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT THE SERVICE PROVIDED BY BIDVID.COM WILL BE ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF BIDVID.COM, OR AS TO THE ACCURACY OR RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE, OR MERCHANDISE PROVIDED THROUGH BIDVID.COM.

BIDVID.COM DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO ANY INFORMATION, SERVICES, PRODUCTS AND MATERIALS, INCLUDING BUT NOT LIMITED TO, WARRANTIES AS TO MERCHANTABILITY OR FITNESS FOR PURPOSES, TITLE, NON-INFRINGEMENT, FREEDOM FROM COMPUTER VIRUS AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COUSE OF PERFORMANCE.  IN ADDITION BIDVID.COM DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACESSIBLE VIA THE SITE IS ACCURATE, COMPLETE OR CURRENT.  WE ARE NOT RESPONSIBLE FOR TYPOGRAPHICAL ERRORS.

IN NO EVENT WILL BIDVID.COM OR ANY PERSON OR ENTITY INVOLVED IN THE USE OF A BIDVID.COM AUCTION, BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE BIDVID.COM

BIDVID.COM NOR ITS AFFILIATES, INFORMATION PROVDIERS OR CONTENT PARTNERS SHALL BE LIABLE REGARDLESS OF THE CAUSE OR DURATION, FOR ANY ERRORS, INACCURACIES, OMISSIONS OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED ON BIDVID.COM, OR FOR ANY DELAY OR INTERRUPTION IN THE SERVICE TO THE USER OR FOR ANY CLAIMS OR LOSSES ARISING THEREFROM OR OCCASSIONED THEREBY.

13. Disclaimer of Warranty and limitation of Liability regarding Purchases

All new products listed on auction are sold with the manufacturers’ limited warranty only.  BidVid.com warrant only that the products sold to the user under these terms shall have the characteristics specified in the bidvid.com specifications for such products as set forth in the description of each auction.  Bidvid.com assumes no further warranties. 

The warranty period varies for each supplier/ manufacturer and is dependant upon the product and manufacturer.  You should write to the specific manufacturer or supplier for details of an items warranty.

Warranty is excluded for delivery of any used items. 

EXCEPT FOR WARRANTIES SET FORTH ABOVE, BIDVID.COM MAKES NO OTHER WARRANTIES EITHER EXPRESS OR IMPLIED, WITH RESPECT TO PRODUCTS OR ANY RELATED SERVICES PROVIDED BY BIDVID.COM OR ANY OF ITS AGENTS OR SUBCONTRACTORS IN CONNECTION WITH ANY ORDER, INCLUDING,WITHOUT LIMITAITON, ANY WARRANTIES OF FITNESS FOR A PARTICUARS PURPOSE, WHICH OTHER WARRANTIES ARE EXPRESSLY EXLCUDED AND DISCLSIMED. 

BIDVID.COM WILL NOT BE LIABLE FOR ANY PERSONAL INJURY AND PROPERTY DAMAGE RESULTING FROM THE IMPROPER HANDLING, MODIFICATION, MIS-USE OF THE PRODUCT BY YOU, THE USER OR ANY OTHER PERSON, FOLLOWING DELIVERY.  BIDVID.COM WILL IN NO CIRUCMSTANCES BE LIABLE TO ANY PERSON FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS OR GOODWILL, LOSS OF USE DAMAGES OR ADDITIONAL EXPENSES INCURRED, WHETHER PURSUANT TO A CLAIM IN CONTRACT OR TORT OR OTHERWISE AND WHETHER IN AN ACTION FOR BREACH OF WARRANTY OR OTHERWISE. 

14. Temporary halted auctions and System Error

A system error will be deemed to have occurred if no bids can be submitted for items due to unforeseeable disruption in a system.  In such instances, auctions will be halted temporarily until such time as the disruption is rectified.    The remaining times for the auction, the current bidding price and the current highest bidder will be maintained.  After the disruption has been resolved, the auction will continue.  Temporary halted auctions are clearly indicated.  Bids placed on temporarily halted auctions will not be credited back to the user’s account and will not be eligible for a refund.  With the technology available at present it is not possible to design a system that is error free and, therefore, Bidvid.com does not guarantee constant and uninterrupted use of its website and systems.  In addition, but not subject to, the disclaimer conditions set out within these Terms and Conditions, Bid Vid.com shall not be liable for any damage whatsoever incurred by the auction users or third parties from using Bid Vid.com’s services.  In particular, Bid Vid.com shall not be liable to users for damage occurred due to bids submitted by auction users that are not registered, received, or considered by Bid Vid.com as a result of technical faults or systematically error. 

15. Trademarks

All trademarks appearing on Bid Vid.com are the property of their registered and or respective owners. 

16. Support and Servicing of Items

All requests for servicing should be made direct to the manufacturers in accordance with their terms and conditions. 

17. Applicable Law

The terms of use agreement and your use of the website shall be governed by the law of the United Kingdom, without regard to its conflicts of laws principles.  Any legal action or proceedings related to this website shall be brought exclusively on an European court of competent jurisdiction sitting in the United Kingdom.  The UN convention on the International Sale of Goods shall not apply.
